PLEASE READ THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY. BY ACCESSING OR USING OUR SITES AND SERVICES, YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE OUR SITE OR OUR SERVICES. THIS TERMS OF SERVICE AGREEMENT IS EFFECTIVE AS OF 05/06/2025.
1. Acceptance of Terms
By accessing or using services provided by Apello Consulting, INC (“we,” “our,” or “us”), you (“you” or “client”) agree to comply with and be bound by these Terms of Service, as well as our Privacy Policy. If you do not agree to these terms, you may not use our services.
2. Nature of Services
Apello Consulting, INC provides non-attorney legal consulting services intended to assist individuals with general legal information, document preparation guidance, business formation support, and related consulting. We do not provide legal representation, nor do we engage in the practice of law under the State of Michigan’s legal statutes.
⚠️ Important Notice: Under Michigan Compiled Laws (MCL) § 600.916 and State Bar of Michigan guidelines, only licensed attorneys may represent individuals in legal matters or provide specific legal advice. Apello Consulting, INC does not and will not perform these activities.
Any and all visitors to our website shall be deemed as “users” of the herein contained Services provided for the purpose of this TOS.
The user acknowledges and agrees that the Services provided through our website and applications—including mobile apps and integrations on social media or downloadable platforms—are the sole property of Apello Consulting, INC. We may update, revise, suspend, or discontinue any part of our services at any time. Your continued use of the services after changes constitutes acceptance of those changes.
Furthermore, you acknowledge and agree that services are provided “AS IS” and Apello Consulting, INC is not responsible for delays, failures, or data loss.
3. No Attorney-Client Relationship
Unless you have entered into a separate agreement with a licensed Michigan attorney affiliated with our firm, no attorney-client relationship exists. Communications between you and Apello Consulting, INC are not protected by attorney-client privilege.
4. Services Offered
Our services may include:
- Legal information and document summaries
- Guidance on business entity formation
- Support with state and local compliance issues
- Review of non-litigation documents (e.g., contracts, policies)
- Bankruptcy and Credit Services
All services are delivered for educational or administrative purposes and should not be interpreted as legal advice.
5. Client Responsibilities
Clients agree to:
- Provide accurate and truthful information.
- Not request or expect legal representation or legal advice unless clearly retained by a licensed attorney.
- Use our services only for lawful purposes in accordance with Michigan and federal law.
6. Fees and Payment
Service fees are clearly communicated before work begins. Payments are due as invoiced. We may offer hourly, flat-rate, or retainer pricing. Payments are due upon receipt unless otherwise agreed.
Refunds are provided only in limited circumstances, such as non-performance of promised services.
ℹ️ Note: Under Michigan’s Consumer Protection Act (MCL § 445.901 et seq.), we are committed to clear disclosure of pricing and services.
⚠️ For New York: All fee disputes are subject to the New York State Fee Dispute Resolution Program, under 22 NYCRR § 137.
7. Confidentiality
While we take all reasonable measures to protect your information, communications with our firm are not covered by attorney-client confidentiality unless a licensed attorney–client relationship has been separately established.
8. Compliance with Michigan Local Law and All Other State Laws
We fully comply with:
- Michigan Unauthorized Practice of Law statutes (MCL § 600.916)
- Rules of the State Bar of Michigan
- Kent County business regulations, licenses, and tax requirements
We do not offer services that require bar licensure in Michigan unless performed by a licensed attorney. We also comply with federal laws and state laws in jurisdictions where we operate.
⚠️ For Texas: We comply with Texas Government Code § 81.101 and § 81.102. Our consultants do not appear in court or file legal pleadings unless licensed to practice law in Texas.
9. Limitation of Liability
To the fullest extent permitted by Michigan law, Apello Consulting, INC shall not be liable for any indirect, incidental, special, or consequential damages resulting from use of or inability to use our services.
All users agree to indemnify Apello Consulting, INC and its affiliates against claims or demands arising from their use of the site or services, including legal fees.
10. Intellectual Property
All content and materials created by or for Apello Consulting, INC, including website content, are our intellectual property and may not be copied, distributed, or modified without written permission.
11. Termination
We may suspend or terminate services at any time for misuse, failure to pay, or breach of these Terms. You may also terminate services, but fees for completed services are non-refundable.
12. Governing Law
These Terms are governed by Michigan law. Disputes shall be resolved in courts within Kent County, Michigan, or the U.S. District Court located in that state.
You agree to file any claim related to our services within 2 years. Failure to do so will result in the claim being barred.
If any provision is found unenforceable, the remaining provisions will remain in effect.
13. Dispute Resolution
Any dispute will be resolved through binding arbitration in Kent County, Michigan under American Arbitration Association rules. Each party bears its own costs unless otherwise decided by the arbitrator.
14. Modifications
We may revise these Terms from time to time. Continued use of our services after updates constitutes acceptance of the new terms.
15. Interstate Communication
By using our services, you acknowledge that your electronic communications may involve interstate transmissions.
16. Privacy Policy
Your personal information is protected in accordance with our Privacy Policy. You consent to the collection and transfer of data as necessary for service provision.
